| The people's governments of all provinces, autonomous regions, and municipalities directly under the Central Government; all ministries and commissions of the State Council and all institutions directly under the State Council; Xinjiang Production and Construction Corps; all central enterprises; and China Securities Depository and Clearing Corporation Limited (“CSDC”): | | 各省、自治区、直辖市人民政府，国务院各部委、各直属机构，新疆生产建设兵团，各中央管理企业，中国证券登记结算有限责任公司： |
| For the purposes of comprehensively promoting the transfer of certain state-owned capital to replenish the Social Security Fund by central and local entities, with the consent of the State Council, the relevant matters are hereby notified as follows: | | 为全面推开中央和地方划转部分国有资本充实社保基金工作，经国务院同意，现就有关事项通知如下： |
| I. The work of transferring certain state-owned capital to replenish the Social Security Fund by central and local entities shall be comprehensively advanced in 2019. For central entities, qualified enterprises shall basically complete the work before the end of 2019, enterprises with difficulties may complete it before the end of 2020, and enterprises founded by central administrative or public institutions may conduct transfer after completing centralized and unified supervision reform; and for local entities, enterprises shall basically complete transfer before the end of 2020. | | 一、中央和地方划转部分国有资本充实社保基金工作于2019年全面推开。其中：中央层面，具备条件的企业于2019年底前基本完成，确有难度的企业可于2020年底前完成，中央行政事业单位所办企业待集中统一监管改革完成后予以划转；地方层面，于2020年底前基本完成划转工作。 |
| II. State-owned shareholders shall effectively transfer equities from relevant enterprises, and urge enterprises to undergo the relevant formalities in a timely manner. Undertaking entities shall effectively receive equities of enterprises, ensure centralized holding and separate accounting of the equities received, and accept the assessment and supervision. State-owned equities transferred from a local enterprise shall be held, managed and operated in a unified manner by a solely state-owned company formed by a provincial people's government, or be entrusted to a company with state-owned capital investment and operation functions for management in a special account. | | 二、国有股东应做好相关企业股权划出工作，督促企业及时办理相关手续。承接主体应扎实做好企业股权接收工作，保证接收股权的集中持有和单独核算，接受考核监督。划转的地方企业国有股权，统一由各省级人民政府设立的一家国有独资公司集中持有、管理和运营，或委托一家具有国有资本投资运营功能的公司专户管理。 |
| III. The people's governments of all provinces (autonomous regions and municipalities directly under the Central Government) shall assume overall responsibility for the local transfer work, strengthen organization and leadership, develop the specific implementation measures in light of the reality, and ensure the completion of the transfer task as required. They shall concurrently strengthen supervision and management of undertaking entities, and ensure that state-owned capital transferred is exclusively used for making up the fund gap of the basic pension insurance funds for employees of enterprises. The departments of finance, human resources and social security, state-owned asset regulation, and other relevant departments at all levels shall strengthen collaboration and cooperation, and effectively perform their duties. | | 三、各省（自治区、直辖市）人民政府要对本地区划转工作负总责，加强组织领导，结合实际制定具体落实办法，确保按要求完成划转任务。同时，要加强对承接主体的监督和管理，确保划转的国有资本专项用于弥补企业职工基本养老保险基金缺口。各级财政、人力资源社会保障、国资监管等有关部门要加强协作配合，切实履行职责。 |
| IV. For the purposes of advancing the transfer work in an active, steady, regulated and orderly manner in light of the pilot work, the Measures for Handling the Relevant Matters concerning the Transfer of Certain State-owned Capital to Replenish the Social Security Fund have been developed and shall come into force on the date of the issuance of this Notice for your compliance and implementation. | | 四、为积极稳妥、规范有序推进划转工作，结合试点工作情况，制定了《关于划转部分国有资本充实社保基金有关事项的操作办法》，自本通知印发之日起生效，请遵照执行。 |

| For the purposes of effectively completing the transfer of certain state-owned capital to replenish the Social Security Fund in an active, steady, regulated and orderly manner, these Measures are developed according to the Notice by the State Council of Issuing the Implementation Plan for the Transfer of Certain State-Owned Capital to Replenish the Social Security Fund (hereinafter referred to as the Implementaiton Plan) (No. 49 [2017], the State Council). | | 为积极稳妥、规范有序做好划转部分国有资本充实社保基金工作，根据《国务院关于印发划转部分国有资本充实社保基金实施方案的通知》（国发〔2017〕49号）（以下简称《实施方案》），制定本操作办法。 |

| 1. Determining the scope and objects of transfer on the basis of the date of issuance of the Implementation Plan. Enterprises incorporated into the scope of transfer shall transfer their state-owned capital generated from direct contribution by the state. | | （一）以《实施方案》印发日确定划转范围和划转对象。纳入划转范围的企业，对其由国家直接出资形成的国有资本实施划转。 |
| 2. For the size classification standards for medium- and large-sized enterprises, the Notice by the National Bureau of Statistics of Issuing the Measures for the Classification of Micro, Small-Sized, Medium-sized and Large-sized Enterprises in Statistics (2017) (No. 213 [2017], NBS) and other relevant provisions shall prevail. | | （二）大中型企业的划型标准，按照《国家统计局关于印发〈统计上大中小微型企业划分办法（2017）〉的通知》（国统字〔2017〕213号）等有关规定执行。 |
3. For the size classification standards for medium-sized and large-sized financial institutions, the relevant provisions of the Notice by the People's Bank of China, the China Banking Regulatory Commission, the China Securities Regulatory Commission, the China Insurance Regulatory Commission and the National Bureau of Statistics of Issuing the Provisions on the size classification standards for Financial Enterprises (No. 309 [2015], PBC) shall prevail.
