| Article 1 In order to promote the opening to the outside world and the healthy development of the road transport services, and to normalize the examination and approval administration of foreign-funded road transport services, these Provisions are formulated according to the Law of the People's Republic of China on Chinese and Foreign Equity Joint Ventures, the Law of the People's Republic of China on Chinese and Foreign Contractual Cooperative Enterprises, the Law of the People's Republic of China on Foreign-funded Enterprises and other relevant laws and regulations | | 第一条 为促进道路运输业的对外开放和健康发展，规范外商投资道路运输业的审批管理，根据《中华人民共和国中外合资经营企业法》、《中华人民共和国中外合作经营企业法》、《中华人民共和国外资企业法》以及有关法律、行政法规的规定，制定本规定。 |

| Article 2 These Provisions shall apply to foreign businessmen investing in the road transport services within the territory of the People's Republic of China. | | 第二条 外商在中华人民共和国境内投资道路运输业适用本规定。 |
The road transport services referred to in these Provisions shall include road passenger transport, road goods transport, road goods portage, loading and unloading, road goods storage, and other supplementary services and vehicle maintenance relating to road transport. | |
本规定所称道路运输业包括道路旅客运输、道路货物运输、道路货物搬运装卸、道路货物仓储和其他与道路运输相关的辅助性服务及车辆维修。 |

| Article 3 Foreign businessmen are allowed to invest in and engage in the road transport services in the following forms: | | 第三条 允许外商采用以下形式投资经营道路运输业： |
| |
|
| (1)investing in and engaging in the road passenger transport in the form of Chinese and foreign equity joint venture; | | （一）采用中外合资形式投资经营道路旅客运输； |
| |
|
| (2)investing in and engaging in the road goods transport, road goods portage and loading and unloading, road goods storage and other supplementary services and vehicle maintenance relating to road transport in the form of Chinese and foreign equity joint venture, and Chinese and foreign contractual cooperation; and | | （二）采用中外合资、中外合作形式投资经营道路货物运输、道路货物搬运装卸、道路货物仓储和其他与道路运输相关的辅助性服务及车辆维修； |

| (3)investing in and engaging in the road goods transport, road goods portage, loading and unloading, road goods road goods storage and other supplementary services and vehicle maintenance relating to road transport in the form of sole foreign investment. | | （三）采用独资形式投资经营道路货物运输、道路货物搬运装卸、道路货物仓储和其他与道路运输相关的辅助性服务及车辆维修。 |
The time for opening the road transport operations listed in item 3) of this Article to the outside world shall be promulgated separately by the department in charge of foreign trade and economic cooperation and the department in charge of communications under the State Council. | |
本条第（三）项所列道路运输业务对外开放时间由国务院对外贸易经济主管部门和交通主管部门另行公布。 |

| Article 4 The project-filing of foreign-funded road transport services and the relevant matters shall be subject to the approval of the department in charge of communications under the State Council. The contracts and articles of association of the road transport enterprises established with foreign investment shall be subject to the approval of the department in charge of foreign trade and economic cooperation under the State Council. | | 第四条 外商投资道路运输业的立项及相关事项应当经国务院交通主管部门批准。外商投资设立道路运输企业的合同和章程应当经国务院对外贸易经济主管部门批准。 |

| Article 5 The foreign businessmen investing in road transport services shall comply with the policies on road transport development and the requirements for enterprise qualification formulated by the department in charge of transportation under the State Council, and shall meet the requirements of the development planning of road transport services formulated by the department in charge of transportation of the place where the foreign-funded road transport enterprise to be established is located. | | 第五条 外商投资道路运输业应当符合国务院交通主管部门制定的道路运输业发展政策和企业资质条件，并符合拟设立外商投资道路运输企业所在地的交通主管部门制定的道路运输业发展规划的要求。 |
All investors shall invest with their self-owned assets and shall have good reputation. | |
投资各方应当以自有资产投资并具有良好的信誉。 |

| Article 6 Foreign businessmen who wish to invest in and provide road passenger transport services shall also meet the following conditions: | | 第六条 外商投资从事道路旅客运输业务，还应当符合以下条件： |

| 1. At least one party among the principal investors shall be an enterprise that has been engaged in the road passenger transport services for more than 5 years; | | （一）主要投资者中至少一方必须是在中国境内从事５年以上道路旅客运输业务的企业； |
