| Article 1 To strengthen the protection of trade secrets of central enterprises and protect the interests of central enterprises from infringement, these Provisions are formulated in accordance with the Law of the People's Republic of China on Guarding State Secrets, the Anti-unfair Competition Law of the People's Republic of China and other laws and regulations. | | 第一条 为加强中央企业商业秘密保护工作，保障中央企业利益不受侵害，根据《中华人民共和国保守国家秘密法》和《中华人民共和国反不正当竞争法》等法律法规，制定本规定。 |

| Article 2 The term “trade secrets” as mentioned in these Provisions refers to the practical business operation information and technical information, which are unknown to the public and are able to bring economic benefits to a central enterprise and for which the central enterprise has taken confidentiality measures. | | 第二条 本规定所称的商业秘密，是指不为公众所知悉、能为中央企业带来经济利益、具有实用性并经中央企业采取保密措施的经营信息和技术信息。 |

| Article 3 Where any business operation information and technical information of a central enterprise falls within the category of state secrets, it shall be protected as state secrets pursuant to law. | | 第三条 中央企业经营信息和技术信息中属于国家秘密范围的，必须依法按照国家秘密进行保护。 |

| Article 4 Where the trade secrets of a central enterprise involve the contents of intellectual property rights, such contents shall be managed in accordance with the relevant laws and regulations of the state on intellectual property rights. | | 第四条 中央企业商业秘密中涉及知识产权内容的，按国家知识产权有关法律法规进行管理。 |

| Article 5 The trade secrets of a central enterprise shall be protected under the guidelines of standardizing pursuant to law, enterprises taking the responsibility, giving priority to prevention, highlighting key points, facilitating work and guaranteeing security. | | 第五条 中央企业商业秘密保护工作，实行依法规范、企业负责、预防为主、突出重点、便利工作、保障安全的方针。 |

| Article 6 The trade secrets of a central enterprise shall be protected under the principles of unified leadership and classified management, and the enterprise's legal representative responsibility system shall be implemented. | | 第六条 中央企业商业秘密保护工作按照统一领导、分级管理的原则，实行企业法定代表人负责制。 |

| Article 7 The secrecy committee of a central enterprise, as the working body in charge of the protection of trade secrets, shall be responsible for implementing the relevant laws, regulations and rules of the state, carrying out the work requirements of the secrecy organ and department at a higher level, conducting research and making decisions on the relevant matters concerning the protection of trade secrets of the enterprise. | | 第七条 各中央企业保密委员会是商业秘密保护工作的工作机构，负责贯彻国家有关法律、法规和规章，落实上级保密机构、部门的工作要求，研究决定企业商业秘密保护工作的相关事项。 |
The secrecy office of a central enterprise, as the routine working body of the secrecy committee of the enterprise, shall be responsible for organizing and conducting education and training on the protection of trade secrets, confidentiality check, protection by confidentiality technologies and investigation of the leakage of any secret, etc. in accordance with law. | |
各中央企业保密办公室作为本企业保密委员会的日常办事机构，负责依法组织开展商业秘密保护教育培训、保密检查、保密技术防护和泄密事件查处等工作。 |

| Article 8 The secrecy office of a central enterprise shall be staffed with full-time confidentiality personnel to be responsible for the protection and management of trade secrets. | | 第八条 中央企业保密办公室应当配备专职保密工作人员，负责商业秘密保护管理。 |

| Article 9 The operating departments of science and technology, law, intellectual property, etc. of a central enterprise shall, according to their division of functions, be responsible for the protection and management of trade secrets within the scope of their duties. | | 第九条 中央企业科技、法律、知识产权等业务部门按照职责分工，负责职责范围内商业秘密的保护和管理工作。 |

Article 10 A central enterprise shall legally determine the scope of protection of its trade secrets, mainly covering: business operation information including strategic plans, management methods, business model, restructuring and listing, merger, acquisition and reorganization, property right transactions, financial information, investment and financing decisions, production, purchase and sales strategies, reserve of resources, clients information, and bidding and tendering issues, etc.; and technical information including designs, procedures, formula of products, manufacturing techniques and methods and technical knowhow, etc.
