The Administrative Measures for the Establishment of Partnership Enterprises within China by Foreign Enterprises or Individuals (hereinafter referred to as the Administrative Measures) issued by the State Council shall come into force as of March 1, 2010. To implement the Administrative Measures, the State Administration for Industry and Commerce has issued the Provisions on the Registration Management of Foreign-funded Partnership Enterprises (hereinafter referred to as the Registration Management Provisions), which shall be implemented simultaneously with the Administrative Measures as of March 1, 2010. For purposes of guaranteeing the smooth implementation of the Administrative Measures and the Registration Management Provisions, performing the functions of the administrations for industry and commerce on the registration management of foreign-funded partnership enterprises by relying on information technologies and giving full play to the role of informationization in serving the development of foreign-funded enterprises, the relevant issues on effectively doing a good job in the informationization construction of registration management of foreign-funded partnership enterprises are hereby notified as follows: | |
国务院颁布的《外国企业或者个人在中国境内设立合伙企业管理办法》（以下简称《管理办法》）将于2010年3月1日起实施。为贯彻落实《管理办法》，总局颁布了《外商投资合伙企业登记管理规定》（以下简称《登记管理规定》），将于2010年3月1日与《管理办法》同步实施。为保证《管理办法》的顺利实施和《登记管理规定》的落实，依托信息化手段依法履行工商行政管理外商投资合伙企业登记管理职能，充分发挥信息化在服务外资企业发展中的作用，现将切实做好外商投资合伙企业登记管理信息化建设工作有关问题通知如下： |

| I. Fully comprehending the significance and urgency of doing a good job in the informationization construction of registration management of foreign-funded partnership enterprises | | 一、充分认识做好外商投资合伙企业登记管理信息化建设的重要性和紧迫性 |
The Administrative Measures is another important legislation made in our country after the issuance of a series of laws and regulations on foreign investment. It is a new task of the administrations for industry and commerce to implement the Administrative Measures so as to give full play to their functional roles and provide better services for the healthy development of foreign-funded enterprises. The informationization construction of registration management of foreign-funded partnership enterprises serves as a technical support for the administrations for industry and commerce to perform their functions on the registration management of foreign-funded partnership enterprises in an accurate, standardized and efficient way, a crucial means for effectively strengthening the supervision and management of foreign-funded partnership enterprises as well as a crucial guarantee for providing high-quality services for the healthy development of foreign-funded enterprises. Doing a good job in the informationization construction of registration management of foreign-funded partnership enterprises is of great significance to the implementation of the Administrative Measures and the Registration Management Provisions. In accordance with the Administrative Measures and Registration Management Provisions, the administrations for industry and commerce shall officially accept registration applications of foreign-funded partnership enterprises as of March 1, 2010, and start to perform their functions on the supervision and management of foreign-funded partnership enterprises. Therefore, the task of informationization construction of registration management of foreign-funded partnership enterprises is heavy and pressing. The administrations for industry and commerce at all localities shall fully understand the significance and urgency of informationization construction of registration management of foreign-funded partnership enterprises, take strong and effective measures to ensure the initiation of development of relevant informationization application software before February 10, adjust the existing business application system and make sure that the functions of registration management of foreign-funded partnership enterprises can be performed from March 1, 2010.

《管理办法》是在我国颁布一系列外商投资法律法规之后颁布的又一部重要法规。贯彻实施《管理办法》是工商行政管理机关充分发挥职能作用，进一步服务外商投资企业健康发展的新的任务。外商投资合伙企业登记管理信息化建设，是工商行政管理机关准确、规范、高效地履行外商投资合伙企业登记管理职能的技术支撑，是切实加强对外商投资合伙企业监督管理的重要手段，是高质量服务外资企业健康发展的重要保障。做好外商投资合伙企业登记管理信息化建设工作，对于贯彻实施《管理办法》落实《登记管理规定》具有重要意义。根据《管理办法》和《登记管理规定》，工商行政管理机关将于2010年3月1日正式受理外商投资合伙企业的登记申请，开始履行对外商投资合伙企业的监督管理职能，外商投资合伙企业登记管理信息化建设工作时间紧迫，任务繁重。各地工商行政管理机关要充分认识外商投资合伙企业登记管理信息化建设的重要性和紧迫性，采取强有力的措施，务必于2月10日前开始启动相关信息化应用软件开发工作，调整原有业务应用系统，确保2010年3月1日起履行外商投资合伙企业登记管理职能的需要。
