Since the joint annual inspection of overseas investments was introduced, all provincial commerce departments and foreign exchange departments and all central enterprises have paid great attention to it, and the annual inspection has seen certain effects. However, there are such problems as complexity of the contents of and procedures for the annual inspection. In order to further do a good job in the joint annual inspection, the Ministry of Commerce and the State Administration of Foreign Exchange have decided to adjust the relevant provisions on the annual inspection. We hereby notify you of the relevant issues as follows: | |
境外投资联合年检工作开展以来，各省级商务主管部门和外汇管理部门、各中央企业高度重视，年检工作取得了一定成效，但也存在年检内容和程序比较复杂等问题。为进一步做好此项工作，商务部、国家外汇管理局决定对年检有关规定进行调整。现将有关事项通知如下： |

| I. Time and Objects of Annual Inspection | | 一、年检时间和对象 |
The time of annual inspection runs from June 1 through July 31 each year. | |
每年6月1日至7月31日为年检工作时间。 |
All overseas enterprises (excluding those formed with foreign aid funds and financial overseas enterprises) formed by domestic investors in the manner of new formation, merger or acquisition (including holding non-controlling shares) prior to the annual inspection year shall be subject to the annual inspection. For example, the objects of the annual inspection in 2010 shall be overseas enterprises formed prior to December 31, 2009, and so on. | |
凡年检年度以前由境内投资主体以新设、并购（含参股）方式设立的境外企业（使用援外资金设立的境外企业、金融类境外企业除外）均应参加年检。如2010年的年检对象为2009年12月31日前设立的境外企业，依此类推。 |

| II. Contents of Annual Inspection | | 二、年检内容 |
The annual inspection shall no longer include the comprehensive evaluation of performance, and the relevant work shall be integrated into the statistical work on overseas direct investment. Since 2010, the contents and grading standards of the annual inspection shall be adjusted as follows: | |
综合绩效评价不再作为年检内容，有关工作并入对外直接投资统计工作。自2010年起，年检内容及评分标准调整为： |

| (I) Evaluation by provincial commerce departments or headquarters of central enterprises (60 points) | | （一）省级商务主管部门或中央企业总部评分（满分60） |

|
| 1. The status of an overseas enterprise (5 points). If an overseas enterprise operates normally, five points shall be granted; or if the overseas enterprise is bankrupt, liquidated, closed or suspended in business, no point shall be granted. | | 1.境外企业状况（满分5分）。凡境外企业正常经营，得5分；境外企业破产、清算、关闭、暂停营业等，得0分。 |

| 2. Compliance with the relevant provisions of China on overseas investment (35 points) | | 2.遵守我国境外投资有关规定情况（满分35分） |
| |
（1）境外投资事项（含变更、终止、境外企业再投资等）是否经过商务部或省级商务主管部门核准或备案并在“境外投资管理系统”中及时、完整、准确填写了相关数据和信息（满分10分）。所有境外投资事项均已履行手续，得10分；凡有境外投资事项未履行手续的情况，得0分。 |
| (1) Whether the overseas investment matters (including modification, termination, reinvestment, etc. of an overseas enterprise) have been approved by or reported, for archival purpose, to the Ministry of Commerce or the provincial commerce department and whether the relevant data and information were timely, completely and accurately entered into the “overseas investment management system” (10 points). If an overseas enterprise has gone through the formalities for all overseas investment matters, 10 points shall be granted; or if it fails to go through the formalities for any overseas investment matter, no point shall be granted. | |
（2）是否按《对外直接投资统计制度》要求报送统计资料（满分10分）。凡按要求报送统计资料的，得10分；未按要求报送统计资料的，得0分。 |

（3）境外企业是否向我驻外使（领）馆经商处（室）报到登记并落实境外企业各项人员和财产安全防范措施、建立突发事件预警机制和应急预案（满分10分）。凡按要求完成上述工作的，得10分；未按要求完成的，得0分。 |
| (2) Whether an overseas enterprise has submitted the statistical information according to the Statistical Rules for Direct Overseas Investment (10 points). If an overseas enterprise submits statistical information as required, 10 points shall be granted; or if it fails to do so, no point shall be granted. | |
（4）是否遵守省级商务主管部门或中央企业总部规定（满分5分）。得分标准由各省级商务主管部门和中央企业总部根据境外企业和投资主体情况自行确定。 |

| (3) Whether an overseas enterprise has registered at the economic and trade counselor's office of the embassy (or consulate) of China in the foreign country or region, has implemented various protective measures for the safety of its personnel and property and has established the emergency warning mechanism and emergency response plan (10 points). If an overseas enterprise completes the aforesaid work as required, 10 points shall be granted; or if it fails to do so, no point shall be granted. | | 3.遵守东道国有关规定情况（满分20分）。 |

（1）境外企业及其中方派出人员是否因违反东道国有关法律法规和政策规定而受到处罚（满分10分）。凡无上述情形者，得10分；有上述情形之一者，得0分。 |
| (4) Whether an overseas enterprise has complied with the provisions of the provincial commerce department or the headquarters of the central enterprise (5 points). The scoring standards shall be determined by a provincial commerce department or the headquarters of a central enterprise on its own according to the specific situations of the overseas enterprise and the investor. | |
（2）境外企业经营中是否出现过质量、安全、环保、劳资关系等方面的问题或纠纷（满分10分）。凡无上述情形者，得10分；有上述情形之一者，得0分。 |

| 3. Compliance with the relevant provisions of the host countries (20 points) | | （二）外汇管理部门评价（满分40分） |
| |
|
| (1) Whether an overseas enterprise or any of its personnel dispatched by the Chinese party was punished for any violation of the relevant laws, regulations and policies of the host country (10 points). If there is no aforesaid circumstance, 10 points shall be granted; or if there is any aforesaid circumstance, no point shall be granted. | | 1.投资款现汇汇出是否符合外汇局规定。凡投资款现汇汇出按外汇局规定办理的，得5分；未按外汇局规定办理的，得0分。 |

(2) Whether any quality, security, environmental protection, employment relationship or other problem or dispute occurred in an overseas enterprise during its business operation (10 points). If there is no aforesaid circumstance, 10 points shall be granted; or if there is any aforesaid circumstance, no point shall be granted.
