The Measures for the Administration of Electronic Certification Services, which were deliberated and adopted at the 6th executive meeting of the Ministry of Industry and Information Enterprise of the People's Republic China on February 4, 2009, are hereby promulgated, and shall come into force on March 31, 2009. The Measures for the Administration of Electronic Certification Services (Order No. 35 of the Ministry of Information Industry of the People's Republic China) promulgated by the former Ministry of Information Industry of the People's Republic China on February 8, 2005 shall be abolished simultaneously. | |

| Chapter I General Provisions | | 第一章 总则 |

| Article 1 To regulate electronic certification services and supervise and administer electronic certification service providers, these Measures are formulated in accordance with the Electronic Signature Law of the People's Republic of China and other laws and administrative regulations. | | 第一条 为了规范电子认证服务行为，对电子认证服务提供者实施监督管理，根据《中华人民共和国电子签名法》和其他法律、行政法规的规定，制定本办法。 |

| Article 2 The term “electronic certification services” as mentioned in these Measures refers to the activities of providing authenticity and reliability verification for all the parties relevant to electronic signatures. | | 第二条 本办法所称电子认证服务，是指为电子签名相关各方提供真实性、可靠性验证的活动。 |
The term “electronic certification service provider” as mentioned in these Measures refers to a third party institution that provides electronic certification services for electronic signatures which need a third party certification (hereinafter referred to as the “electronic certification service institution”). | |
本办法所称电子认证服务提供者，是指为需要第三方认证的电子签名提供认证服务的机构（以下称为“电子认证服务机构”）。 |
An electronic certification service institution providing services to the general public shall be formed according to law. | |
向社会公众提供服务的电子认证服务机构应当依法设立。 |

| Article 3 These Measures shall apply to the formation of electronic certification service institutions within the territory of the People's Republic of China and the provision of electronic certification services for electronic signatures. | | 第三条 在中华人民共和国境内设立电子认证服务机构和为电子签名提供电子认证服务，适用本办法。 |
| |
|
| Article 4 The Ministry of Industry and Information Technology of the People's Republic of China (hereinafter referred to as the MIIT) shall have the power to supervise and administer electronic certification service institutions and electronic certification services according to law. | | 第四条 中华人民共和国工业和信息化部（以下简称“工业和信息化部”）依法对电子认证服务机构和电子认证服务实施监督管理。 |

| Chapter II Electronic Certification Service Institutions | | 第二章 电子认证服务机构 |
| |
|
| Article 5 An electronic certification service institution shall meet the following conditions: | | 第五条 电子认证服务机构应当具备下列条件： |
| |
|
| 1. Having the status of an independent enterprise legal person. | | （一）具有独立的企业法人资格。 |
| |
|
| 2. Having the personnel suitable for the provision of electronic certification services. There shall be no less than 30 professional technicians, operation management personnel, security management personnel and customer service personnel who engage in electronic certification services and meet the skill requirements of the relevant posts. | | （二）具有与提供电子认证服务相适应的人员。从事电子认证服务的专业技术人员、运营管理人员、安全管理人员和客户服务人员不少于三十名，并且应当符合相应岗位技能要求。 |

|
| 3. Having a registered capital of not less than 30 million yuan. | | （三）注册资本不低于人民币三千万元。 |
| |
|
| 4. Having fixed business premises and a physical environment satisfying the requirements of electronic certification services. | | （四）具有固定的经营场所和满足电子认证服务要求的物理环境。 |
| |
|
| 5. Having the technologies and equipment meeting the relevant national safety standards. | | （五）具有符合国家有关安全标准的技术和设备。 |
| |
|
| 6. Having the certification document of the state code management institution on a consent to the use of code. | | （六）具有国家密码管理机构同意使用密码的证明文件。 |
| |
|
| 7. Other conditions prescribed by laws and administrative regulations. | | （七）法律、行政法规规定的其他条件。 |
| |
|
| Article 6 To apply for a license for electronic certification services, the applicant shall submit the following materials to the MIIT: | | 第六条 申请电子认证服务许可的，应当向工业和信息化部提交下列材料： |
| |
|
| 1. A written application. | | （一）书面申请。 |
| |
|
| 2. A certification on personnel. | | （二）人员证明。 |
| |
|
| 3. A capital certification (the financial statements for the recent 3-year which have been audited according to law or the capital verification report of a newly formed company). | | （三）资金证明（经依法审计的近三年的财务会计报告，新成立公司的验资报告）。 |
| |
|
| 4. A certification of business premises. | | （四）经营场所证明。 |
| |
|
| 5. The document issued by the relevant certification and testing institution of the state which declares that the technologies, equipment and physical environment meet the relevant national safety standards. | | （五）国家有关认证检测机构出具的技术、设备、物理环境符合国家有关安全标准的凭证。 |
| |
|
| 6. A certification that the state code management institution has consented to the use of code. | | （六）国家密码管理机构同意使用密码的证明文件。 |
| |
|
| Article 7 The MIIT shall conduct a form examination of the application materials submitted by the applicant. If the application materials are complete and conform to the statutory form, it shall issue an acceptance notice to the applicant. If the application materials are incomplete or do not conform to the statutory form, it shall, on the spot or within 5 days, inform at one time the applicant of all required supplements and corrections. | | 第七条 工业和信息化部对提交的申请材料进行形式审查。申请材料齐全、符合法定形式的，应当向申请人出具受理通知书。申请材料不齐全或者不符合法定形式的，应当当场或者在五日内一次告知申请人需要补正的全部内容。 |

| Article 8 The MIIT shall conduct a substantive examination of the application materials which it decides to accept. If it is necessary to verify the relevant content, it shall assign two or more staff members to make a field verification. | | 第八条 工业和信息化部对决定受理的申请材料进行实质审查。需要对有关内容进行核实的，指派两名以上工作人员实地进行核查。 |

|
| Article 9 The MIIT shall, in writing, solicit the opinions of the Ministry of Commerce of the People's Republic of China and other relevant departments regarding the matters related to the applicant. | | 第九条 工业和信息化部对与申请人有关事项书面征求中华人民共和国商务部等有关部门的意见。 |
| |
|
| Article 10 The MIIT shall, within 45 days from the day of receipt of an application, make a written decision on whether to grant a license or not. If it decides not to grant a license, it shall notify the applicant of the decision in writing with reasons included; or if it decides to grant a license, it shall issue the License for Electronic Certification Services and announce the following information: | | 第十条 工业和信息化部应当自接到申请之日起四十五日内作出准予许可或者不予许可的书面决定。不予许可的，应当书面通知申请人并说明理由；准予许可的，颁发《电子认证服务许可证》，并公布下列信息： |

| 1. The serial number of the License for Electronic Certification Services. | | （一）《电子认证服务许可证》编号。 |
| |
|
| 2. The name of the electronic certification service institution. | | （二）电子认证服务机构名称。 |
| |
|
| 3. The certificate-issuing organ and date of issuance. | | （三）发证机关和发证日期。 |
Where any information related to the license for electronic certification services changes, the MIIT shall announce such changes in a timely manner. | |
电子认证服务许可相关信息发生变更的，工业和信息化部应当及时公布。 |
The License for Electronic Certification Services shall be valid for five years. | |
《电子认证服务许可证》的有效期为五年。 |

| Article 11 Whoever obtains a license for electronic certification services shall bring the License for Electronic Certification Services to the administrative organ for industry and commerce to go through the relevant formalities. | | 第十一条 取得电子认证服务许可的，应当持《电子认证服务许可证》到工商行政管理机关办理相关手续。 |

| Article 12 An electronic certification service institution which has obtained the certification qualification shall, before providing electronic certification services, release the following information via the Internet: | | 第十二条 取得认证资格的电子认证服务机构，在提供电子认证服务之前，应当通过互联网公布下列信息： |
| |
|
| 1.Its name and legal representative. | | （一）机构名称和法定代表人。 |
| |
|
| 2. Its domicile and contact information. | | （二）机构住所和联系办法。 |
| |
|
| 3.The serial number of its License for Electronic Certification Services. | | （三）《电子认证服务许可证》编号。 |
| |
|
| 4.The certificate-issuing organ and date of issuance. | | （四）发证机关和发证日期。 |
| |
|
| 5.The commencement and ending dates of the term of validity of the License for Electronic Certification Services. | | （五）《电子认证服务许可证》有效期的起止时间。 |
| |
|
Article 13 Where an electronic certification service institution intends to modify its company name, domicile, legal representative, registered capital or type, any of its shareholder, the mode of capital contribution made by shareholders, amount of contribution, time of contribution or any other matter within the term of validity of its License for Electronic Certification Services, it shall report it to the MIIT for a consent before applying for registration modification to the company registration organ.
