| For the purpose of standardizing the titles of cases of notification of concentrations between undertakings, the Anti-monopoly Bureau of the State Administration for Market Regulation has developed these Guiding Opinions in accordance with the Anti-monopoly Law of the People's Republic of China, the Measures for the Notification of Concentrations Between Undertakings, the Measures for the Review of Concentrations Between Undertakings, and other relevant provisions. | | 为规范经营者集中案件申报名称，国家市场监督管理总局反垄断局依据《中华人民共和国反垄断法》以及《经营者集中申报办法》、《经营者集中审查办法》等规定，制定本指导意见。 |
| Article 1 Uniform titles of cases of concentration between undertakings (“concentration”) shall be used by the undertakings concerned in the notification materials. | | 第一条 经营者在申报材料中应当使用统一的经营者集中（以下简称集中）案件名称。 |
| The title of a concentration case shall reflect the basic information on the concentration, and the wordings shall be in compliance with the provisions of law, standardized, concise, and coherent. | | 集中案件名称应当反映集中的基本情况，用语符合法律规定且规范、简洁、通顺。 |
| Article 2 Where a concentration involves a merger between undertakings A and B (hereinafter undertakings are referred to as A, B, and so on), the case shall be titled “A and B Merger Case.” | | 第二条 集中情形是经营者A（简称A，下文其他字母情况相同）和B合并的，案件名称应表述为“A与B合并案”。 |
| Article 3 Where a concentration involves an acquisition by A of equities of B, the case shall be titled “Case of Acquisition by A of Equities of B,” in which the equity ratio is not required. | | 第三条 集中情形是A收购B股权的，案件名称应表述为“A收购B股权案”，不需要含有股权比例。 |
Where a concentration involves an acquisition by A of the equities of C held by B, the case shall be titled “Case of Acquisition by A of Equities of C,” in which the name of B and the equity ratio are not required, whether B controls C or not after the transaction.
