| For the purposes of implementing the deployments of the CPC Central Committee and the State Council for further advancing the reform of “simplifying procedures, decentralizing powers, combining decentralization with appropriate control, and optimizing services,” implementing the requirements of the Foreign Investment Law on the foreign investment information reporting system, further alleviating the burden of enterprises, reducing institutional transaction costs, strengthening credit supervision, and optimizing the business environment, upon the study of and decided by the State Administration for Market Regulation (“SAMR”), the Ministry of Commerce (“MOC”), and the State Administration of Foreign Exchange (“SAFE”), the annual return reform of “Consolidating Multiple Returns into One” of market regulation, commerce and foreign exchange shall be implemented as of 2019. You are hereby notified of the relevant work as follows: | | 为贯彻党中央、国务院关于深入推进“放管服”改革的部署，落实《外商投资法》关于外商投资信息报告制度的要求，进一步减轻企业负担，降低制度性 交易成本，强化信用监管，优化营商环境，经市场监管总局、商务部、外汇局研究决定，自2019年度年报起实施市场监管、商务、外汇年报“多报合一”改革。现就有关工作通知如下： |
| I. Specifying the submission requirements | | 一、明确报送要求 |
| From the time when the annual returns of 2019 is to be submitted, foreign-funded enterprises (institutions) shall, according to the Foreign Investment Law, submit their annual returns by “consolidating multiple returns into one” through the National Enterprise Credit Information Publication System (www.gsxt.gov.cn, hereinafter referred to as the “Publication System”) in a unified manner. On the basis of the existing information on annual returns submitted to the market regulation departments, in an annual return, the annual return items (see Annex 1 Annual Return Documents for the details) of the competent commerce departments and foreign exchange administrative departments shall be added and newly added annual return items shall not be disclosed to the public. | | 自2019年度年报开始，外商投资企业（机构）应按照《外商投资法》的规定，统一通过国家企业信用信息公示系统（www.gsxt.gov.cn，以下简称公示系统）报送“多报合一”年报。年报内容在现有向市场监管部门报送年报信息的基础上，增加商务主管部门和外汇管理部门年报事项（详见附件1年报文书），新增的年报事项不对社会公示。 |
| For the purposes of this Notice, “foreign-funded enterprises (institutions)” means the companies and partnerships invested and established by foreign investors directly in China, the branch offices established by enterprises of foreign countries (regions) in the territory of China to carry out production and business operation activities, and the enterprises invested and established by foreign-funded companies, foreign-funded venture capital enterprises, and foreign-funded partnerships mainly engaged in investment in the territory of China. | | 本通知所称“外商投资企业（机构）”，是指外国投资者直接在中国境内投资设立的公司、合伙企业，外国（地区）企业在中国境内从事生产经营活动，外国（地区）企业在中国境内设立从事生产经营活动的分支机构，外商投资性公司、创业投资企业、以投资为主要业务的外商投资合伙企业在中国境内投资设立的企业。 |
| The information on relevant annual returns submitted by enterprises shall be forwarded by the SAMR to the MOC. In 2019, foreign-funded enterprises (institutions) shall submit their annual returns by “consolidating multiple returns into one” from January 1 to June 30, 2020. An enterprise failing to submit its annual returns by June 30 shall be included in the list of operating anomaly by the market regulation department. | | 企业报送的相关年报信息由市场监管总局向商务部推送共享。2019年度外商投资企业（机构）“多报合一”年报报送时间为2020年1月1日至6月30日。截至6月30日仍未报送年报的，由市场监管部门列入经营异常名录。 |

In 2020, the first year for foreign-funded enterprises (institutions) to submit annual returns under the program of “consolidating multiple returns into one,” the transition work regarding annual returns shall be effectively completed so as to ensure the smooth transition of annual returns.
